Auctions Valley is a social marketplace built on an architecture designed to respect users’ privacy and rights while empowering them with ownership and control over their transactions. The Website connects You and other Auctions Valley users to form a community where You can acquire and auction products, services, or tickets. We leverage items that allow products, services, or tickets to be “packaged” with smart contracts, offering secure transaction auctions.
2.2 Our Business Model
We do not rely on advertising or sell user data. Instead, as explained in Section 7 (Fees and Commissions), We earn a small percentage of the revenue generated by Our customers on the Website. Our philosophy is that if Our tools help You earn money, We share in that success to continue improving the platform. We do not serve the interests of third-party advertisers; rather, We serve You and all Auctions Valley users as free and autonomous agents who come together to exchange information and value meaningfully.
2.3 Your User Account
When You sign up for Auctions Valley, You receive a personal account where You can customize Your profile with a name, profile picture, and identity summary. We store Your personal information on a traditional server and recognize Your data privacy rights, allowing You to delete Your account and personal data at any time.
2.4 Control Over Your Items
The system provides You with a dedicated account through which You can store and transfer products, services, and tickets on Auctions Valley. You retain full ownership of this content, which is protected by Your unique “secure private key” linked to Your verified email and phone. We have no access to or control over Your transactions. It is entirely Your choice how to use or share Your items. Each transaction is immutably recorded on a distributed ledger, creating a publicly verifiable record of all activity.
3. USER DETAILS AND WEBSITE VISITS
3.1. Personal Information and Privacy
Any personal information You provide while using Auctions Valley is processed according to Our Privacy and Cookies Policy. You warrant that all information You submit is accurate, current, and complete.

We disclaim any liability arising from a user’s misrepresentation of their age. If We discover that a user is under the required age, We reserve the right to suspend or terminate their account immediately
4. DEFINITIONS

• Seller: A User who lists an item, service, or ticket for auction.
• Buyer: A User who places bids on auctions.

5. AUCTIONS PROCESS ON AUCTIONS VALLEY
5.1 Seller Eligibility and Account Setup
• Registration: Individuals and legal entities may register as sellers on Auctions Valley, provided they meet age, jurisdictional, and any other requirements imposed by applicable law and Auctions Valley’s internal policies.
• Account Creation: Prospective sellers must create an Auctions Valley account by submitting accurate personal or corporate information. Auctions Valley reserves the right to request additional documentation or conduct background checks to verify a user’s identity and compliance with platform standards.
• Identity Verification: Where required by law or by Auctions Valley policy, sellers must complete identity verification steps. These may include providing government-issued identification, validating bank accounts, or other methods as necessary to ensure authenticity and legal compliance.
• Approval of Seller Accounts: Auctions Valley retains sole discretion to approve or deny any seller account request. Once approved, the seller gains access to the necessary tools for listing items for auction. Sellers are responsible for keeping their account details accurate and up to date.
5.2 Setting Auction Terms
• Auction Parameters: Sellers determine the auction’s start date, duration, starting bid, and currency (Euros, US Dollars, or British Pounds). They may also set a reserve price if permitted by Auctions Valley’s policies.
• Accuracy of Descriptions: Sellers must provide clear, lawful, and accurate descriptions of the items, services, or tickets being auctioned, including any specifications, conditions, or restrictions. Deceptive practices or misrepresentations are strictly prohibited.
• Compliance with Laws: All listings must comply with relevant legal and regulatory requirements in both the seller’s and buyer’s jurisdictions, including any applicable import, export, or licensing obligations.
• Auction Modifications: Sellers may revise auction terms (e.g., starting price, duration) only if no bids have been placed. Once a bid is recorded, changes are restricted or subject to Auctions Valley’s guidelines to protect the fairness of the auction.
5.3 Bidding and Winner Selection
• Real-Time Bidding: Bids are submitted via Auctions Valley’s real-time interface. Each bid is legally binding, obligating the bidder to pay the stated amount if that bid wins.
• Highest Valid Bid: When the auction ends, the highest valid bid is declared the winning bid, provided the buyer completes payment on time. Any fraudulent bids, or bids from unverified or disqualified accounts, may be canceled at Auctions Valley’s discretion.
• Notification of Winner: Once the auction concludes, the winning bidder is notified through email or platform notifications. The bidder must then pay within the timeframe specified by the seller or the platform.
• Auction Finalization: If no valid bids are placed or if the highest bid is invalidated, the seller may relist the item or take any other action permitted by these Terms and applicable law.
5.4 Buyer’s Obligation to Pay
• Timely Payment: The winning bidder must pay the final bid amount (plus any taxes, shipping, or additional fees) within the designated timeframe. Failure to do so may result in penalties, including account suspension.
• Direct Payment to Seller: Payment is made directly to the seller via payment methods authorized by Auctions Valley (e.g., credit card, bank transfer, or another secure gateway). Auctions Valley does not collect or hold buyer funds unless explicitly stated.
• Delivery and Documentation: Once payment is received, the seller must ship or otherwise deliver the item, service, or ticket as agreed. The seller is also responsible for providing any accompanying documents (e.g., warranties, proofs of authenticity, or service contracts).
• Risk of Loss: Unless otherwise mandated by law, risk of loss and title (if applicable) pass to the buyer once the seller hands over the goods to the carrier or completes the digital transfer.
5.5 Non-Payment by Winning Bidder
• Buyer Default: If the winning bidder does not pay within the specified timeframe, that bidder is deemed in default. Auctions Valley may impose penalties such as account suspension or termination for repeated defaults.
• Offer to Second-Highest Bidder: If the winning bidder fails to pay, the seller may offer the item to the second-highest bidder at their last bid. The second-highest bidder is under no obligation to accept.
• Re-Listing: If the second-highest bidder also declines or fails to pay within the stipulated timeframe, the seller may relist the item or seek other remedies available under applicable law.
6. DISTINCTIVE FEATURES OF AUCTIONS VALLEY
6.1 Permanent Bid Records
• Bid History: Auctions Valley permanently stores all bid details—including amounts, timestamps, and bidder identities (as permitted by Our Privacy Policy)—to maintain a transparent and auditable auction environment.
• Audit Requests: Users may formally request an audit of any auction in which they participated. Auctions Valley will disclose relevant bid data unless prohibited by law or privacy obligations.
• Data Integrity: To preserve bid accuracy and reliability, Auctions Valley employs security measures designed to protect against data tampering or unauthorized access.
6.2 No Automated Bots
• Prohibition of Bots: Automated scripts, software, or systems designed to place bids without direct human involvement are strictly forbidden on Auctions Valley.
• User Verification: Auctions Valley may use automated and manual systems to detect suspicious bidding patterns. Accounts involved in bot usage or similarly deceptive activities are subject to immediate suspension.
• Fairness Assurance: By banning automated bots, Auctions Valley ensures a fair environment where genuine participants compete on equal terms.

• Range of Listings: Auctions Valley supports auctions for various categories, including physical goods, items, services, and tickets, promoting a broad selection for buyers.

7. FEES AND COMMISSIONS
7.1 No Listing Fees
• Free Listings: Auctions Valley does not charge users for account creation or for posting auction listings. This approach encourages a diverse range of offerings.
• Optional Upgrades: Sellers can purchase premium listing features (e.g., highlighted placement) for a separate fee, as outlined on Auctions Valley’s pricing page. These optional costs do not impact regular commission fees.
7.2 Commission Fee
• Commission Rate: Auctions Valley charges a ten percent (10%) commission on the final sale price of a successfully completed auction, calculated based on the winning bid amount.
• Other Third-Party Costs (Stripe): Payment processors for payments (e.g., Stripe) may charge You additional fees. We do not charge You credit card fees. We recommend reviewing Stripe’s rates (www.stripe.com/pricing).
• Automatic Deduction: The commission may be deducted automatically before the seller receives funds.
• Invoicing: Where automatic deduction is unavailable, Auctions Valley invoices the seller for the commission. Invoice terms, including due dates, are specified on the Website.
• Non-Payment of Commission: Failure to pay any invoiced commission may result in account suspension, withheld funds, or legal action, as deemed necessary.
8. TYPES OF AUCTIONS PERMITTED
8.1 Permissible Listings
• Legal Compliance: All auctioned items, services, or tickets must comply with applicable local, national, and international laws, as well as Auctions Valley’s policies. Prohibited items include contraband, illegal substances, and items infringing on intellectual property rights.
• Accuracy and Authenticity: Sellers are liable for ensuring authenticity and accurate representation of listed items. Where relevant, proof of authenticity or certification must be provided.
• Ethical Considerations: Even if an item is legal, Auctions Valley may remove or restrict listings deemed unethical or inappropriate. Examples include content that promotes hate speech, violence, or exploitation.
8.2 Platform Enforcement
• Right to Remove or Suspend: Auctions Valley reserves the right to remove listings or suspend user accounts upon suspicion or confirmation of any violation of law or these Terms.
• Investigation Process: When violations are alleged, Auctions Valley may conduct an internal investigation. During this period, users’ selling or bidding privileges may be restricted or suspended.
• Dispute Resolution: Sellers may challenge a listing removal or suspension by submitting a dispute through customer support. Auctions Valley will conduct an internal review and, if needed, consult legal or regulatory authorities before issuing a final determination.
9. SERVICES
We grant You a right to access the Website and use the various functions and services offered by or through Auctions Valley (hereinafter, the “Services”), including but not limited to:
- Connections and Messaging
Upon creating Your account and profile, You gain access to the Auctions Valley community, where You can view other users’ profiles, connect with them, and communicate via the Website’s messaging system. All connections and messages may be timestamped or recorded for security and auditing purposes. A user must accept Your request or message for the connection to be established (hereinafter, a “Connection”).
- Auction Listings and Items
After creating Your account and profile, You gain the ability to list or participate in auctions for products, services, or tickets (hereinafter, “items,” where applicable). Depending on Your account settings and identity verification:
- Creation of Items:
You may create items that represent the product, service, or ticket You wish to auction. When creating an item, You can upload images, add searchable keywords, specify quantity or availability, include a detailed description, and (if relevant) attach files accessible only to the winning bidder. Each item includes its own legal terms outlining the conditions of its sale or use.
Listing Items: You can list Your items within the Auctions Valley platform to reach potential buyers. Auctions Valley supports real-time bidding in Euros (EUR), US Dollars (USD), or British Pounds (GBP), subject to the platform’s currency rules and Your chosen settings.
Auction Process: By default, items are sold through an auction format, meaning bids are binding, and You are generally obligated to transfer ownership once a winning bidder is determined. Refer to the “Auctions Process” clauses for details on how bidding, winner selection, and payment timelines operate.
Activity Tracking: Under the “Activity” section of Your user profile, You can track Your recent platform interactions, including item creations, active or completed auctions, and related transactions.
9.2. Use of the Services and Compliance
You must use these Services lawfully and in accordance with all applicable laws and regulations (collectively, “Laws”). This includes, without limitation, domestic and international laws related to financial services, consumer protection, unfair competition, privacy, and any other relevant regulations in the jurisdictions where You operate or transact.
It is strictly prohibited to use Auctions Valley for any unlawful purpose, including but not limited to money laundering, financing terrorism, or other criminal activities. You are solely responsible for acquiring and maintaining any necessary licenses, permits, or authorizations required by law to sell, buy, or otherwise transact on Auctions Valley.
Auctions Valley may, at its sole discretion, deny, restrict, or revoke Your access to the Services if there is evidence of non-compliance with Laws, repeated violations of platform rules, or activities deemed harmful or illegal under relevant statutes.
10. IDENTIFICATION AND PAYMENTS
10.1. Payment Processing Provider and Identity Verification
We use Stripe, an external partner, as a payment processing provider and for the purposes of verifying the identity and business information of sellers. By using Our services, You agree to provide accurate and complete information for identity and business verification.
10.2. KYC (Know Your Customer) and KYB (Know Your Business) Processes
Stripe conducts a “Know Your Customer” (KYC) and “Know Your Business” (KYB) process for Our sellers, and We rely on Stripe to perform these processes. You acknowledge and agree that We shall not be responsible or liable for any failure or delay by Stripe in conducting these processes, or for any errors or omissions in the information provided by Stripe.
10.3. Verification of Stripe’s Availability in Your Country
If You are a seller, it is important to confirm that Stripe is available in Your country before using Our services. We recommend that You review Stripe’s website (www.stripe.com/global). By using Our services, You acknowledge and agree that it is Your responsibility to confirm Stripe’s availability in Your country, and that We shall have no liability for any loss or damage arising from Your failure to do so.
10.4. Stripe’s Terms and Conditions
We also recommend that You review Stripe’s terms and conditions carefully, as they govern Your use of their services and Your relationship with them. By using Our services, You acknowledge and agree that You have reviewed and accepted Stripe’s terms and conditions and that You will comply with all applicable laws and regulations related to the use of Stripe’s services (stripe.com/legal/ssa).
11. TRANSACTION PROCESSING FEES
11.1. Payment of Ledger Transaction Fees
In order to process transactions on the distributed ledger, a processing fee for both the issuance and transaction of items will be required. These fees will be calculated based on the current market rates at the time of the transaction and will be assumed by Us, without any cost to the user.
Transaction Fee: The processing fee covers the cost of validating and recording the transaction on the distributed ledger, as well as the ongoing maintenance and development of the network. Any fees associated with the transaction will be assumed by Us and will not affect the user. These fees are charged by the processors who validate and confirm transactions on the ledger and are necessary to ensure the security and integrity of the network.
Deposit for the Issuance of Items: To create items, the network requires a deposit which will be provided by Us. Once the item is burned, the deposit must be returned to Us, who will in any case be the sole owner of said deposit. You expressly assume and accept that in no case will You have any right over the deposit made by Us.
11.2. Acceptance of Fees and Future Changes
By agreeing to use Auctions Valley and process transactions on the ledger, the user acknowledges and accepts the transaction processing fees and deposit requirements. We reserve the right to change at Our sole discretion the terms of this clause, although any changes will be communicated to the user. In this sense, the user may have a maximum number of items they can create. If the user wants to issue new items after having reached the maximum allowed, they must burn an item already created for each new one they wish to create.
12. WE ARE NOT INTERMEDIARIES
12.1. No Intermediary Role
We do not act as intermediaries. We simply provide You and other users the possibility to enter into direct contact with one another and to conclude individually defined and agreed contracts over the Auctions Valley Marketplace. We are not a party to any transactions between You and the counterparty You are engaging with over Auctions Valley, and We do not assume any representative function for either of the Parties.
12.2. Direct Responsibility for Transactions
You and Your counterparty are solely responsible and liable for the content, conclusion, validity, and execution of contracts concluded over Auctions Valley. We do not assume any liability in this respect. The legal terms that govern the trading and the use of products, services, or items over Auctions Valley are stipulated by You and Your counterparty. The legal terms are established by the seller of the items and are included in those items. The legal terms are visible within each item offered on or through the Website. By purchasing a product, service, or ticket on Auctions Valley, You accept the corresponding legal terms.
12.3. No Legal Advisory Services
We do not provide legal services for drafting or executing contracts concluded over Auctions Valley. Although We may make generic legal templates available through the Website for optional use, We are not responsible for the content of those templates or for the content of any legal terms You and Your counterparty stipulate, conclude, or accept on Auctions Valley. We urge You to read the legal terms of the items carefully before completing any purchase. Because We are not a party to the contract between You and Your counterparty, We are not responsible for resolving any disputes between You and Your counterparty.
12.4. User Assumption of Risk
Your use of Auctions Valley is at Your own risk. We have no control over the ability of any user to complete a sale to Your satisfaction.
12.5. Consumer Laws and Returns/Refunds
We do not handle or oversee any return, refund, or exchange procedures between You and any buyer or seller. Sellers are solely responsible for ensuring compliance with any applicable consumer protection laws, including rules on returns, refunds, or cancellation periods. If You have questions regarding refunds or any statutory consumer rights, please direct them to the other Party to Your transaction or seek independent legal advice. We disclaim all liability for any failure by a seller or buyer to comply with such laws or regulations.
12.6. No Refund or Return Intermediation
Unless expressly agreed otherwise in writing, We do not manage, broker, or facilitate refunds or returns on behalf of sellers and buyers. All disputes or issues related to product quality, delivery, and compliance with contract terms must be resolved directly between the respective Parties
13. YOUR CONTENT SUBMISSIONS
13.1. Right to Access and Upload Content
We grant You the right to access Our Website and upload, submit, or share Your own content—such as items, messages, etc. (“content submissions”)—on Auctions Valley.
13.2. License to Display and Publish Content
We do not claim ownership of Your content submissions. However, by uploading content, You grant the Company a worldwide, perpetual, non-exclusive, royalty-free, and freely assignable and sub-licensable license to display and publish it on Auctions Valley, including any actions reasonably related to publishing (e.g., reformatting or distributing). We may also use Your content submissions to promote Auctions Valley without requiring prior permission, in accordance with Our Privacy Policy.
13.3. Representation of Ownership and Rights
By uploading Your content submissions, You represent and warrant that You own or otherwise have the right to control all relevant rights in Your submissions, including (without limitation) all property rights, licenses, consents, permissions, authority, or other required entitlements to provide, upload, share, or sell Your content.
You undertake to share content on Auctions Valley solely to post, send, or receive messages and material or services that are lawful, appropriate, and aligned with the intended communication purposes. By way of example, when sharing Your submissions on Auctions Valley, You agree not to:
• Defame, abuse, harass, stalk, threaten, or violate others’ legal rights.
• Share any content related to terrorist or criminal activity.
• Publish inappropriate, profane, defamatory, or obscene material or information (including violent or pornographic content, material involving minors, or other sensitive private information).
• Upload content protected by third-party copyright, intellectual property rights, or other property rights, unless You have the necessary permissions or are legally entitled to post such material and grant Us the license outlined above.
• Upload content that contains viruses or similar programs capable of damaging Auctions Valley or another user’s computer.
• Engage in or forward surveys, contests, pyramid schemes, or chain letters.
• Falsify or remove author attributions, legal notices, or proprietary labels indicating the origin or source of software.
• Violate any applicable laws or regulations.
13.4. Prohibited Content
It is strictly prohibited to upload or share cryptocurrencies, electronic money, securities, or any kind of financial product on Auctions Valley (for instance, embedding them within an item). You agree to upload, submit, or share content on Auctions Valley in compliance with all relevant laws, such as consumer, copyright, e-commerce, data protection, etc.
13.5. Company Liability and Personal Information
Accordingly, the Company assumes no liability for any action regarding content or information provided, uploaded, or shared within Auctions Valley by You, any user, or any third party. Always exercise caution when revealing personally identifiable information about yourself. We do not control, verify, or endorse Your content submissions.
13.6. Reporting Improper or Illegal Content
If You believe that another user’s submission is improper under these guidelines (e.g., an item containing text, graphics, photos, audio, video, or other material that has been copied in a way constituting copyright infringement) or is otherwise unsafe or being used for illegal purposes, You may notify Us by email at info@gate2chain.com or file a report through the Website.
13.7. No Obligation to Monitor User-Uploaded Content
We have no obligation to monitor or filter user-uploaded content. However, if We determine that any submitted content violates applicable law, is inappropriate under these rules, threatens the safety of users or the public, could create liability for the Company or users, or is otherwise unsafe or used in furtherance of illegal activity, We reserve the right, at Our sole discretion, to remove or disable it from the Marketplace. We may also take any actions We deem necessary or appropriate in response to third-party claims of infringing content.
13.8. Disclosure to Authorities
We further reserve the right to disclose any content submissions or related information to public authorities if necessary to satisfy any applicable law, regulation, legal process, or governmental request.
13.9. Indemnification
You agree to indemnify, defend, and hold the Company harmless from any losses, costs, liabilities, or expenses (including reasonable attorneys’ fees) arising out of third-party claims alleging a violation of law by Your content submissions.
14. INTELLECTUAL PROPERTY
14.1. Ownership of Platform and Technology
The Auctions Valley platform—encompassing all associated software, code, algorithms, databases, and any related intellectual property rights—remains Our exclusive property.
Users acknowledge and agree that the platform is protected by copyright, trademark, patent, trade secret, and other applicable laws. Any unauthorized use, reproduction, or distribution of the platform or its components is strictly prohibited.
Nothing in these Terms grants Users the right to use, modify, reproduce, distribute, or create derivative works based on the platform, except as expressly authorized by Us.
Users must not attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying technology of the platform or any portion thereof.
Names, logos, and any other trademarks or service marks used in connection with the platform are Our exclusive property. Users must not use, copy, imitate, or modify these trademarks without Our prior written consent. Any use of Our trademarks in connection with products or services not provided by Us is prohibited and may constitute infringement.
14.2. Respect for Third-Party Rights
Users shall respect third-party intellectual property rights while using the platform. We are not responsible for any user’s infringement or violation of these rights. We may, at Our discretion, implement measures to address or resolve intellectual property claims, including removing infringing content or suspending accounts.
We reserve the right to update, modify, or enhance the platform and its intellectual property at Our sole discretion. Users acknowledge that continued use of the platform after any such changes constitutes acceptance of the revised Terms.
By accessing and using the platform, Users expressly agree to abide by this Intellectual Property clause.
15. DEFENSE OF INTELLECTUAL PROPERTY RIGHTS
15.1. Protection of Intellectual Property
As the owner of the platform, We take the protection of Our intellectual property rights seriously. We expect You to do the same and to notify Us immediately of any suspected third-party violations.
15.2. Facilitation and Support
In the event of such a violation, We are not obligated to pursue legal action against the offender. However, We will facilitate Your ability to take action at Your own expense by granting authorization to sue if required by, and permissible under, applicable law. We will also provide information and assistance to support Your legal action.
Note that You will bear the cost of any legal proceedings against such infringers, though We will use reasonable efforts to support You in ensuring Your legal action is effective.
15.3. Notification and Enforcement
If You become aware of any violations of intellectual property rights by third parties, You must notify Us immediately. While We are not obligated to take action, We may permit You to do so on Your own behalf and provide all necessary data and support. You will remain responsible for all costs arising from such legal proceedings.
16. LIMITATION OF LIABILITY
16.1. Exclusion of Liability
We take Our obligations under this Agreement seriously and will use Our best efforts to ensure that the platform operates as described. However, to the fullest extent permitted by applicable law, We exclude all liability for any damages or losses arising from or in connection with Your use of the platform, whether such losses are direct, indirect, incidental, consequential, special, punitive, or exemplary, and whether We have been advised of the possibility of such damages or not.
16.2. Exceptions for Willful Intent or Gross Negligence
Our exclusion of liability does not apply in cases of willful intent or gross negligence on Our part. In these scenarios, We will be liable for damages caused by Our willful intent or gross negligence.
16.3. Liability Cap and Risk Allocation
Under no circumstances will Our liability exceed the total amount of fees You have paid Us under this Agreement. You acknowledge and agree that the limitations and exclusions outlined in this clause reflect a fair risk allocation between You and Us.
17. CONFIDENTIALITY
Subject to the provisions above, the Parties must:
1. Keep all Confidential Information confidential at all times;
2. Not use any Confidential Information other than for the purposes of this Agreement;
3. Not copy or disseminate any Confidential Information of the other Party; and
4. Not publish, disclose, or divulge any Confidential Information to a third party other than employees or professional advisors who need to know such information.
For the purposes of this Agreement, “Confidential Information” excludes information that:
1. Becomes publicly available without breach of this Agreement;
2. Was lawfully known to the recipient without restriction on disclosure prior to its disclosure hereunder;
3. Is lawfully received from a third party authorized to disclose it;
4. Is approved for release by prior written consent of the disclosing Party; or
5. Is required to be disclosed by law, court order, or a competent authority, provided that the receiving Party promptly notifies the disclosing Party before disclosure so that the disclosing Party may seek a protective order or equivalent remedy.
These confidentiality obligations remain in effect for five (5) years after this Agreement terminates.
18. LINKS TO THIRD-PARTY WEBSITES
Auctions Valley may include links to external websites not under the Company’s control. We provide these links solely as a convenience, and their inclusion does not imply endorsement by the Company of those sites or any association with their operators. Likewise, the privacy policies or terms of such third parties are wholly their responsibility. We recommend reviewing those documents if You decide to engage with any linked website.
19. SUPPORT
19.1. Basic Self-Service Support
We generally offer basic, self-service support for issues concerning Your account and overall usage of Auctions Valley. If You have questions, You may contact Us by email at info@gate2chain.com. Any enhanced support will only be provided under a separate agreement.
19.2. End-User Support Responsibility
Please note that You alone are responsible for supporting Your own customers regarding matters such as product delivery, returns, refunds, or any other issues related to Your auction listings or business activities. Unless agreed upon otherwise, We do not provide end-user support for Your customers.
20. DISCLAIMER OF WARRANTIES
20.1. “As Is” and “As Available” Basis
You understand and agree that Auctions Valley and any services or materials available on the Website are provided on an “as is” and “as available” basis. You expressly agree that Your use of the Website is at Your sole risk.
20.2. No Control over Distributed Ledger Interactions
We do not control interactions on any distributed ledger that might be utilized through Auctions Valley and have no authority to block, restrict, or manage such interactions. By interacting on the platform, You directly contract with other users without intermediation by Auctions Valley.
20.3. No Guaranteed Suitability or Interoperability
Auctions Valley cannot guarantee suitability for Your particular business purpose or that the platform is entirely interoperable with every technology or system You use.
20.4. Legal Compliance
By using Auctions Valley, You represent and warrant that Your usage complies with the legal requirements of Your jurisdiction and that You are fully capable of operating on the platform.
20.5. Responsibility for Unlawful Use
You bear responsibility for any unlawful use of Auctions Valley, including potential criminal offenses and violations of intellectual or industrial property laws. Auctions Valley disclaims all liability for any such misuse or wrongdoing.

You represent and warrant that Your data processing activities adhere to applicable data protection regulations and that You have provided any necessary notices or obtained all requisite consents (if legally required) from Your customers.
21.2. Indemnification for Data Privacy Violations
You agree to indemnify and hold Us harmless against any third-party claims alleging data privacy violations, including associated damages, fees, or expenses (including reasonable attorneys’ fees).
22. TAXES AND OTHER DUTIES
You alone must determine any taxes or other duties that apply to Your use of Auctions Valley. You are responsible for withholding, collecting, reporting, and remitting the correct taxes to the appropriate authorities in accordance with the legislation in force. We disclaim all liability for withholding, collecting, reporting, or remitting taxes resulting from or connected to Your use of Auctions Valley.
23. RESTRICTIONS, LIMITATIONS, AND TERMINATION
23.1. Term and Renewal
This Agreement takes effect on the date You accept these Conditions by creating Your Auctions Valley account and remains valid for an initial term of one (1) year. It will automatically renew for subsequent one-year periods unless terminated earlier by either Party, in accordance with the provisions below.
23.2. Geographic Availability (Sellers)
Our services are tied to the countries where Our payment processing partner, Stripe, operates. This list may change. By using the services as a seller, You warrant that You operate in a country where such use is available.
23.3. Geographic Availability (Buyers)
The services are generally offered worldwide, subject to legal compliance in each buyer’s jurisdiction.
23.4. Service Modifications
We may modify or terminate services in any region at any time without prior notice and disclaim any liability for any resulting loss or damage.
23.5. Voluntary Account Closure
You may terminate this Agreement by closing Your Auctions Valley account. Doing so does not affect any contracts already concluded on Auctions Valley.
23.6. Suspension or Termination by Us
Without limiting Our other rights, We may limit or suspend Our services and/or Your account, restrict or prohibit Your access or activities, or otherwise limit Your visibility if, among other reasons, We suspect legal liability issues; wish to enhance user safety; detect that You have violated laws or platform policies; see You engaging in abusive or fraudulent conduct; or have any other legitimate interest in so doing.
23.7. Notification of Measures
If We take measures against Your account, We generally attempt to notify You with the reason.
23.8. Effect of Termination
Once suspended or terminated, You will no longer be able to use Our services, even with another Auctions Valley account. Such suspension or termination does not invalidate any contracts concluded before Your suspension. If Your account is terminated, Auctions Valley shall have no liability for compensation, reimbursement, or damages from the loss of Your account or information. You are still liable for any fees, fines, or financial obligations incurred before termination.
23.9. Maintenance and Discontinuation
We may suspend Auctions Valley for scheduled maintenance, new feature deployment, or other technical reasons, or permanently discontinue its operation at Our discretion.

By using Our services, You represent and warrant that You are not located in or otherwise engaging from a region under comprehensive sanctions or embargoes. We reserve the right to deny or revoke access if We believe You are violating such restrictions. In all cases, We rely on third-party payment processors to enforce these requirements, and We disclaim any liability arising from their decisions or actions.
24. CHANGES
24.1. Right to Modify
We reserve the right to change, update, or modify any portion of this Agreement at any time and for any reason at Our sole discretion.
24.2. Notice and Acceptance
If We make material changes, We will notify You accordingly. If You continue to use Auctions Valley (or do not respond) within fifteen (15) business days after being notified of updated terms, such continued use will be deemed acceptance of the new terms, unless the changes obligate You to make significant technical adjustments in Your goods or services. If You do not agree with the new terms, You have the right to terminate the Agreement by deleting Your account.
24.3. Exceptions
The above notice period does not apply where We must comply with immediate legal or regulatory requirements or address an unforeseen or imminent risk to the security of Our services, Our users, or professional partners—such as issues related to fraud, malware, data breaches, or cybersecurity.

25.1. Notice from Us
We may provide any required notice to You via the email address associated with Your account. Such notices are deemed delivered once sent, irrespective of whether You have received or read them. It is Your responsibility to keep Your email address current.

To notify Us under these Conditions, You must email info@gate2chain.com or such other updated email address as We may provide on Our Website. Notices to Us become effective one business day after they are sent.
26. COMPLAINTS
You may submit any complaints about Our services by emailing info@gate2chain.com. In accordance with applicable law, upon receipt of Your complaint, We will investigate promptly and fairly, and will communicate Our findings or decisions to You within a reasonable period.
27. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the substantive laws of England and Wales, without reference to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
28. JURISDICTION
If a dispute arises between You and Us, We encourage You to first contact info@gate2chain.com to seek an amicable resolution. Subject to any mandatory consumer protections, disputes that remain unresolved shall be referred to the exclusive jurisdiction of the courts of London (UK).
29. MISCELLANEOUS
29.1. Effective Date and Confirmation
This Agreement becomes effective once You accept these Conditions by creating Your Auctions Valley account. Within twenty-four (24) hours of this Agreement taking effect, We will confirm Your acceptance by email.
29.2. Independent Contractors
The Parties are independent contractors. Nothing in this Agreement creates a joint venture, association, partnership, or agency between the Parties. Neither Party may bind the other, except as expressly provided.
29.3. No Waiver
Failure by any Party to enforce any provision of this Agreement does not constitute a waiver of that provision or any future rights. Any waiver must be in writing and signed by an authorized representative.
29.4. Severability
If any provision of this Agreement is held void, invalid, or unenforceable, the remaining provisions continue in effect. Such void or invalid provision is deemed modified to the minimum degree necessary to correct its invalidity.
29.5. Entire Agreement
This Agreement, together with any documents referenced within, constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous understandings.
